SPAR Group: Assistant Company Secretary

A position has become available for an Assistant Company Secretary to join our dynamic team, based in Pinetown.

Duties & Responsibilities
To provide high quality, timely and effective secretariat, and corporate governance support to the wide variety of subsidiary entities and entities controlled by SPAR, including those incorporated in South Africa and Internationally, as well as the South African Executive Committee.

Key Performance Areas:

Ensure effective meeting facilitation and management in terms of drafting of agendas, attending and providing guidance at meetings, and drafting and circulating the minutes and action lists from the meetings timeously.

Effective administration of share incentive schemes in compliance with the rules of the schemes.Manage communication and payment of non-Executive remuneration.
Ensure proper governance & compliance standards are implemented for the Guilds and other SPAR Subsidiaries, in terms of King IV and Companies Act, including but not limited to management of conflict of interest, induction of directors, updating of Charters and Terms of References etc.

Oversight of statutory compliance for all legal entities within the SPAR Group.
Support of the company internal & external audit.
Ensure transactions undertaken by business are compliant with the Group delegation of authority, draft resolutions and obtain the requisite approvals.
Reporting to board and for Integrated reporting.
Maintain the Group Organogram by ensuring that it is constantly reviewed and updated. 
Support the Group Company Secretary on Adhoc Secretarial Projects.

Desired Experience & Qualification

Matric Certificate.

Grad ICSA.

3 Years Company Secretarial Experience.

Knowledge of the Companies Act.

CIPC Experience Essential.

Board Minute Taking Experience Essential.

Understanding of share incentive schemes.
